Terms of Business

These terms cover software builds and related work by Stellify Software Ltd (company no. 12220031, England) — "Stellify", "we", "us" — for the business customer named on the order — "you". By placing an order you agree to these terms. They're written to be read, not decoded; if anything is unclear, ask before you order.

1. What you're buying

  • A one-time build: we assemble a working software system from Stellify's existing module library, to the specification agreed with you in writing (email is fine) before the build starts — the "Spec". The Spec describes which modules your system uses and how they're configured and presented for your business.
  • The build price covers assembling and configuring existing Stellify modules, with interfaces tailored to your business. If the Spec calls for capability our modules don't provide, we'll say so when agreeing the Spec and quote that part separately as per-job work — it is never silently included in the build price.
  • The system is deployed to hosting in your name and under your control. The price is the build price agreed at order; it does not include your hosting or other third-party costs, which you pay directly to those providers.
  • The build is complete when the system does what the Spec says. You have 14 days from delivery to check it against the Spec; anything that doesn't match the Spec, we correct at no charge. New ideas, preferences, and additions that come up once you see it running are welcome — as quoted per-job work (section 4), not as corrections.

2. Ownership

  • Your application is yours: its configuration and assembly, any code written specifically for you, your branding and content, and all of your data. Outright, from delivery.
  • The reusable modules and platform code your system is built from are shared across the systems we build. They are licensed to you under an open-source licence (MIT) — meaning you can use, modify, and have anyone you choose work on every part of your system, indefinitely, at no ongoing cost. What you don't get is exclusivity over the shared modules — other Stellify-built systems use them too.
  • You are never tied to us. Your system is standard PHP (Laravel); there is a large pool of developers able to work on it at ordinary market rates, and you're completely free to use any of them.

3. Module fixes — our standing obligation

  • If a defect is found in a Stellify module or in our platform code, we fix it centrally and make the fix available to every affected system free of charge, for as long as Stellify operates. That is our recall promise: we stand behind what we built.
  • This covers defects in our code. It does not cover your hosting and servers, framework or PHP upgrades on your hosting, changes made by you or by developers not engaged by us, third-party services, or new features — those are work you own or can commission (section 4).

4. Other work — how the garage model works

  • Everything beyond the Spec and the recall promise is priced per job: changes, new features, integrations, server help, upgrades. No monthly fee, no contract, no meter running.
  • We quote before we start, and the quote is the price unless the job changes. Quotes reflect the state of the code in front of us: work built on our modules is quick for us to navigate; changes made by others can take longer to understand before we can safely build on them, and those jobs can cost more. Either way, you know the price first.

5. Your responsibilities

  • Providing and paying for your hosting and any third-party accounts, and giving us the access needed to do agreed work.
  • Backups and day-to-day operation of your system, unless you've engaged us for a specific job that includes them.
  • The legality and accuracy of your content and data, and how your business uses the system.

6. Your data

  • You are the data controller for personal data in your system; we act only on your instructions when work requires us to touch it, keep it confidential, and don't use it for anything else. Each side complies with UK data protection law for its own role.

7. Payment

  • The build price is payable at order. Per-job work is payable as quoted — for larger jobs we may agree part up-front, part on completion. Prices exclude VAT, which is added where applicable.

8. Liability — the fair boundaries

  • We're liable for doing our work with reasonable skill and care. If we get it wrong, our total liability for the build (or a job) is capped at the amount you paid for that build (or job).
  • Neither of us is liable to the other for indirect or consequential losses — including lost profits, lost bookings, or lost data — arising from the system's use. You own and operate the system; keeping backups and insurance appropriate to your business is your call.
  • Nothing in these terms excludes liability that can't legally be excluded (such as for fraud, or death or personal injury caused by negligence).

9. General

  • These terms plus the Spec and order are the whole agreement for a build; they can be varied only in writing agreed by both sides.
  • These terms are for business customers. Neither side is the other's partner, agent, or employer. If a clause is found unenforceable, the rest stand.
  • English law governs these terms, and the courts of England and Wales have exclusive jurisdiction.
