Terms of Business
Last updated: 14 October 2026
These terms cover software systems built by Stellify Software Ltd (company no. 12220031, England) — "Stellify", "we", "us" — for the business customer named on the order — "you". If you're an agency or consultant ordering a system for a client, "you" means your business, and you're responsible for your own arrangements with that client. By placing an order you agree to these terms. They're written to be read, not decoded; if anything is unclear, ask before you order.
1. How an order works
- You tell us what your system needs to do using the requirements forms on our website.
- We send back our written interpretation of those requirements, itemised by module, with a fixed price — the "Specification". If anything in it is wrong or missing, tell us before accepting and we'll revise it.
- When you accept the Specification and pay, we build the system. Payment is in full, up front, at the price shown on the accepted Specification.
2. What you're buying
- A one-time build: a working software system assembled from Stellify's existing module library, configured and presented to match the accepted Specification.
- The price covers assembling and configuring existing Stellify modules, with interfaces for your business. If your requirements call for capability our modules don't provide, we'll say so in the Specification and price it there — it's never silently included or left out.
- Your system is a standard Laravel (PHP) application, delivered to you as an exported codebase — with written guidance on hosting it.
- The price doesn't include hosting, domains, or any third-party services your system uses; you arrange and pay for those directly with the providers.
3. Checking the build
- The build is complete when the system does what the accepted Specification says.
- You have 14 days from delivery to check it against the Specification. Anything that doesn't match, we correct at no charge.
- New ideas, preferences, and additions that come up once you see the system running aren't corrections. They're new requirements, ordered through the same process as a new Specification and priced accordingly.
- Because you agree the Specification before paying, refunds aren't available for a system that matches it.
4. Ownership
- Your application is yours: its configuration and assembly, any code written specifically for you, your branding and content, and all of your data. Outright, from delivery.
- The reusable modules and platform code your system is built from are shared across the systems we build. They're licensed to you under an open-source licence (MIT) — so you can use, modify, and have anyone you choose work on every part of your system, indefinitely, with no ongoing fee to us. What you don't get is exclusivity over the shared modules; other Stellify-built systems use them too.
- You're never tied to us. Your system is standard Laravel, and any developer or agency you choose can host, run, and work on it.
5. Hosting, running, and maintaining your system
- Stellify supplies the system. Hosting, deploying, running, backing up, and maintaining it are your responsibility, or that of the developers or agency you appoint. We provide hosting guides to help, but we don't host or operate customer systems.
- We keep improving our modules over time. Updated versions are available through Stellify — for example by ordering an updated build, or through a Stellify Studio subscription, which is covered by our Platform Terms at stellisoft.com/stellify/terms, not by these terms. Applying updates to your system is your choice and your responsibility.
- If you or your developers change the code outside Stellify, reconciling those changes with any later module updates is down to you.
6. Your responsibilities
- Giving us accurate requirements and checking the Specification carefully before you accept it.
- Everything to do with operating the system once delivered, as set out in section 5.
- The legality and accuracy of your content and data, and how your business uses the system.
7. Your data
- You're the data controller for personal data in your system. If a build ever requires us to handle any of it, we act only on your instructions, keep it confidential, and use it for nothing else. Each side complies with UK data protection law for its own role.
8. Payment
- Prices are shown on the Specification and payable in full when you accept it. Prices exclude VAT, which is added where applicable.
9. Liability — the fair boundaries
- We build with reasonable skill and care. If we get it wrong, our total liability for a build is capped at the amount you paid for that build.
- Neither of us is liable to the other for indirect or consequential losses — including lost profits, lost bookings, or lost data. Once delivered, you (or your appointed developers) host and operate the system, so backups, security of your hosting, and insurance appropriate to your business are your call.
- Nothing in these terms excludes liability that can't legally be excluded (such as for fraud, or death or personal injury caused by negligence).
10. General
- These terms plus the accepted Specification are the whole agreement for a build; they can be varied only in writing agreed by both sides. We may update these terms for future orders; the version in force when you accept a Specification applies to that build.
- These terms are for business customers only. Neither side is the other's partner, agent, or employer. If a clause is found unenforceable, the rest stand.
- English law governs these terms, and the courts of England and Wales have exclusive jurisdiction.
