Partner Terms

Last updated: 14 October 2026

These terms cover the Stellify Partner Programme run by Stellify Software Ltd (company no. 12220031, England) — "Stellify", "we", "us" — for the agency, consultant, or business accepted as a partner — "you". By applying to the programme, or confirming by email that you accept these terms, you agree to them.

1. How the programme works

  • There are two ways to work with us, and you can use either or both.
  • Refer: you introduce a business, it orders a system from us directly and pays us, and we pay you a share of what it pays (sections 2–4).
  • Resell: you order a system from us at partner rates and supply it to your own client under your own terms and pricing (section 5).

2. Referral share

  • For each referred customer, we pay you 20% of the build fees and Studio subscription fees they pay us in the first 12 months after their first payment, excluding VAT.
  • A share is earned only once the customer's payment has cleared and, for build fees, their 14-day check period under our Terms of Business has ended.
  • If we refund a payment, the share on it is reversed. We deduct it from your next payout, or ask you to repay it if no payout is due.

3. Who a customer belongs to

  • A customer counts as your referral when they arrive through your partner link (your ?ref= link) or you register them with us by email before they place their first order.
  • A referral stays valid for 90 days from the visit or registration. If they haven't ordered by then, it lapses.
  • A business that was already a Stellify customer or in contact with us before your referral isn't a referral.
  • If two partners claim the same customer, the first valid link visit or registration wins. Our records decide.

4. Payment of referral shares

  • We send you a statement monthly, and you invoice us for the shares shown on it. We pay within 30 days of a correct invoice.
  • No payout is made until you've earned at least £50. Smaller amounts roll over.
  • You're responsible for your own tax, and for adding VAT to your invoice if you're VAT-registered.

5. Reselling at partner rates

  • Partner rates are 20% below our published prices, unless we agree different rates with you in writing. They're confidential to you.
  • When you resell, you're our customer. Our Terms of Business apply to each system you order, and you accept the Specification and pay us in full before we build.
  • Your client is your customer, not ours. Your price, your terms with them, and your support for them are up to you. We have no obligations to your client directly.
  • You can present the system under your own brand.

6. Representing Stellify

  • When you describe Stellify, use the claims and materials we provide or approve, and don't make promises on our behalf. In particular, don't promise hosting, maintenance, fixes, timescales, or prices beyond what our published terms and the accepted Specification say.
  • You can use the Stellify name and logo to promote the programme, following any brand guidelines we give you. Stop when the partnership ends.
  • Market lawfully. That includes UK data protection and electronic marketing rules: no unsolicited marketing emails or messages to people who haven't agreed to them.
  • Don't present yourself as part of Stellify. You're an independent business.

7. Directory listing

  • We may list you in our partner directory on stellisoft.com. We decide whether to list you and can update or remove the listing at any time.
  • A listing isn't an endorsement or guarantee of your services.

8. Data and confidentiality

  • Each side handles personal data it receives as its own controller and complies with UK data protection law. Only pass us a business contact's details with their agreement.
  • Keep anything we mark as confidential, including partner rates, to yourself. We do the same with your client and business information.

9. Ending the partnership

  • Either side can end the partnership by giving 30 days' notice by email. We can end it immediately if you break these terms.
  • After it ends, we pay referral shares already earned, unless the partnership ended because you broke these terms. Nothing further accrues.
  • Systems you've already ordered under section 5 stay covered by our Terms of Business.

10. Liability

  • Neither side is liable to the other for indirect or consequential losses, including lost profits.
  • Our total liability to you under these terms is capped at the referral shares paid to you in the 12 months before the claim.
  • Nothing in these terms excludes liability that can't legally be excluded, such as for fraud.

11. General

  • The partnership is non-exclusive. You can work with others, and so can we.
  • Neither side is the other's employee, agent, or legal partner, despite the word "partner".
  • We may update these terms by giving you 30 days' notice by email. If you don't want to continue under the update, you can leave under section 9.
  • If a clause is found unenforceable, the rest stand.
  • English law governs these terms, and the courts of England and Wales have exclusive jurisdiction.
